User Agreement

TERMS AND CONDITIONS

This agreement is made by and between Logistics Information Technologies, Inc.  hereby referred to as LIT and the User hereby referred to as Subscriber.

In accordance with this agreement, LIT grants the Subscriber a non-exclusive right to use LIT's interactive online services.  Logistics Information Technologies, Inc. retains title and ownership of LIT's interactive online services. This grant of use only applies to the following described territory: inter-company, one user maximum per account and or Company.  Subscriber agrees that it will not re-sell in any shape or form any information it accesses from any of LIT's online database.  Subscriber also agrees the information obtained from LIT is for Subscriber's use only and may not be disclosed to another party  without the prior written consent of Logistics Information Technologies, Inc.  Subscriber agrees that it will not lend, advertise, or disburse its private log-on identification or log-on password to any party without prior written consent of Logistics Information Technlogies, Inc.  Subscriber acknowledges that LIT may change its website and/or services without notification when it deems these changes are advantageous to its customer base.

VARIATION: Unless the prior written consent of Logistics Information Technologies, Inc. is obtained, the Subscriber may not modify or change LIT’s interactive online services in any manner.

FAILURE TO ACT:  If the Subscriber fails to abide by the obligations of this agreement, Logistics Information Technologies, Inc. has sole discretion to cancel this agreement immediately and without oral or written notice to the Subscriber.

CERTIFICATION: Logistics Information Technologies, Inc. makes no warranties with respect to the use of LIT’s interactive online services.  In no event will LIT be liable for direct, indirect, special, incidental, or consequential damages, that are in any way related to LIT’s interactive online services. Logistics Information Technologies, Inc. also makes no warranties expressed or implied as to the fitness or merchantability for a particular purpose. Logistics Information Technologies Inc.'s interactive online services are offered "as is" and "as available" only.  Logistics Information Technologies Inc., its employees, agents, information providers, licensers or merchants, do not warrant that Logistics Information Technologies, Inc.'s interactive online services will be free of errors; nor does Logistics Information Technologies, Inc., its employees, agents, information providers, licensers or merchants warrant the accuracy or content of any information obtained through our service. In no event will LIT be responsible for loss of revenue or profit, interruption of business or any other consequential, special or incidental damages, whether due to negligence, recklessness, wantonness, willfulness or otherwise. Subscriber waives any right to such damages. Subscriber's remedies against Logistics Information Technologies, Inc. for any matter arising under this agreement are limited to a pro rata credit of related LIT invoice charges to Subscriber for such period of time as the matter pertained.  IT IS EXPRESSLY UNDERSTOOD THAT THE REMEDY DESCRIBED IN THE PREVIOUS SENTENCE IS SUBSCRIBER'S EXCLUSIVE REMEDY FOR INABILITY TO ACCESS THE DATABASE. No statements (oral or written) by Logistics Information Technologies, Inc., its employees, agents, merchants, or third party information providers shall create any warranties of any kind.

TERM OF AGREEMENT: This agreement will continue indefinitely.

TERMINATION: Either party with or without cause may terminate this agreement, by providing 30 days' written notice to the other party.

AMENDMENT: This agreement may be modified or amended, if the amendment is made in writing and signed by both parties.

SEVERABILITY:  If any provision of this agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall  continue to be valid and enforceable. If a court finds that any provision of this agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

WAIVER OF CONTRACTUAL RIGHT:  The failure of either party to enforce any provision of  this agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this agreement.

APPLICABLE LAW: The laws of the state of Virginia shall govern this agreement.

It is the responsibility of the Subscriber to ensure that all material (including but not limited to written, photos, and logos) submitted to LIT's online services is not copyrighted by a third party (unless prior consent is granted); nor will any material submitted to LIT's interactive online services be obscene or threatening in any form.  Furthermore, all material submitted to LIT's interactive online services could not violate any national, local or state laws. By submitting material to LIT's interactive online services, you hereby guarantee you have the right to use the material submitted and grant LIT's interactive online services the right to use the material.

PAYMENT:  Services are billed on a quarterly or annual basis.  Payment for services shall be due the 1st of the month in which the quarterly or annual billing cycle begins. Any payment not received within 5 days after the due date may cause service interruption.

ENTIRE AGREEMENT: This agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement supersedes any prior written or oral agreements between the parties.
